1. Contractual Relationship

These Terms of Service ("Terms") govern your access to and use of our landing page, waitlist, and early beta announcements. These Terms constitute a binding legal agreement between you and Placepoints UG.

2. Assignment & Successor-in-Interest

Placepoints UG reserves the right to assign, transfer, or delegate all of its rights and obligations under these Terms to a successor entity as part of a corporate reorganization. You hereby explicitly acknowledge and agree that upon corporate restructuring, these Terms will automatically transfer to LIVEDOCK Inc. (Delaware, USA), which will assume all responsibilities, platform operations, and liabilities without further notice to you.

3. Waitlist & Beta Sign-ups

Signing up for our waitlist does not guarantee access to the final LIVEDOCK hardware or software solutions, nor does it establish a commercial purchase contract. Prices, specifications, and launch dates shared on this landing page are tentative and subject to change without notice.

4. Intellectual Property

All content, logos, diagrams, user interface concepts, and marketing materials displayed on this landing page are the exclusive intellectual property of Placepoints UG (to be assigned to LIVEDOCK Inc.). You may not copy, reproduce, or modify our designs without express written consent.

5. Limitation of Liability

This landing page is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by German law (and subsequent US Delaware law), we shall not be liable for any indirect, incidental, or consequential damages resulting from your use of or inability to access this website.

6. Governing Law & Jurisdiction

  • Current Status: So long as the operator is Placepoints UG, these terms are governed by the laws of the Federal Republic of Germany, with jurisdiction in Munich.

  • Post-Transition: Following the formal transition to LIVEDOCK Inc., these terms will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
